Welcome to the website of Joshua Samuel. By accessing our website or engaging our services (Website Development, Product Development, and ERP Implementations), you agree to comply with and be bound by the following Terms and Conditions.

1. Scope of Services

We provide professional B2B software engineering services, custom product development, website creation, and ERP implementation solutions. Every engagement is bound by a separate Statement of Work (SOW) or Service Agreement defining timelines, milestones, and deliverables.

2. Intellectual Property

Unless otherwise agreed upon in a signed contract:

• All pre-existing intellectual property, frameworks, and code bases owned by Joshua Samuel remain our property.
• Upon final payment clearance, the specific custom source code and deliverables designed exclusively for the client will be transferred to the client.

3. Payment Terms

• Clients agree to pay the fees outlined in the respective project proposal or invoice.
• Payments must be made within the stipulated due date via approved digital channels.
• Delayed payments may result in a temporary suspension of development, deployment, or support services.

4. Limitation of Liability

Joshua Samuel shall not be liable for any indirect, incidental, or consequential damages—including but not limited to loss of profits, data, or business interruption—arising out of the use of our software products or ERP implementations once signed off and deployed to production.

5. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
